Welcome to HelpPls! These Terms of Service ("Terms") govern your access to and use of the HelpPls platform, website, mobile applications, and related services (collectively, the "Services"). By accessing or using HelpPls, you agree to be bound by these Terms and our Privacy Policy.
Agreement to Terms
By creating an account or using HelpPls, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our Services.

1. Eligibility and Account Registration
1.1 Age Requirements
- Consumers: You must be at least 13 years old to use HelpPls
- Service Providers: You must be at least 18 years old to create a professional account
- By using HelpPls, you represent that you meet these age requirements
1.2 Account Registration
To use certain features of HelpPls, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Accept responsibility for all activities under your account
1.3 Invite Codes and Beta Access
HelpPls is currently in limited beta release. Access requires an invite code. By using your invite code, you acknowledge:
- Beta features may contain bugs, errors, or incomplete functionality
- Services may be interrupted or changed without notice
- Your feedback helps improve HelpPls (and is greatly appreciated!)
- We may revoke beta access at any time for policy violations
- Invite codes are non-transferable and for personal use only
2. User Responsibilities
2.1 Account Security
You are responsible for maintaining the security of your account. You agree to:
- Use a strong, unique password (we recommend a password manager)
- Enable two-factor authentication (2FA) if available
- Not share your account credentials with anyone
- Log out from shared or public devices
- Report any security concerns to [email protected]
2.2 Accurate Information
You agree to provide truthful, accurate, and complete information, including:
- Consumers: Service addresses, contact information, and booking details
- Service Providers: Licenses, insurance, certifications, service areas, and pricing
- Failure to provide accurate information may result in account suspension or termination
2.3 Professional Conduct
All users agree to:
- Treat other users with respect and professionalism
- Communicate honestly and transparently
- Honor commitments (bookings, appointments, payments)
- Resolve disputes amicably and in good faith
3. Acceptable Use Policy
You agree NOT to use HelpPls for any unlawful, harmful, or prohibited purpose. Prohibited activities include:
3.1 Illegal Activities
- Violating any local, state, federal, or international law
- Engaging in fraud, scams, or deceptive practices
- Money laundering or other financial crimes
- Offering or soliciting illegal services
3.2 Platform Abuse
- Creating fake accounts or impersonating others
- Spamming, phishing, or sending unsolicited messages
- Scraping, data mining, or automated data collection
- Reverse engineering or attempting to access source code
- Bypassing security measures or exploiting vulnerabilities
- Interfering with platform operations or other users' access
3.3 Harmful Content
- Posting false, misleading, or defamatory content
- Sharing obscene, hateful, or discriminatory material
- Harassing, threatening, or intimidating other users
- Infringing on intellectual property or privacy rights
3.4 Payment Abuse
- Attempting to circumvent payment processing
- Disputing legitimate charges (chargeback fraud)
- Using stolen payment methods
- Manipulating pricing or promotional codes
Violations May Result In
Account suspension or permanent ban, legal action, and referral to law enforcement for serious violations. We reserve the right to investigate and take appropriate action.
4. Service Provider Relationship
4.1 Independent Contractor Status
IMPORTANT: Service providers on HelpPls are independent contractors, NOT employees, agents, or partners of HelpPls. This means:
- HelpPls does not employ, supervise, or control service providers
- Providers set their own schedules, pricing, and service terms
- Providers are responsible for their own taxes, insurance, and licenses
- HelpPls is not responsible for providers' actions, services, or liabilities
- No employment relationship, benefits, or worker protections exist
4.2 Platform Role
HelpPls acts solely as a marketplace platform connecting consumers with service providers. We:
- Facilitate communication and booking between parties
- Process payments securely on behalf of providers
- Provide tools for scheduling, invoicing, and reviews
- Verify basic credentials (licenses, insurance) when provided
HelpPls does NOT:
- Guarantee the quality, safety, or legality of services provided
- Endorse or recommend specific service providers
- Supervise, direct, or control how services are performed
- Assume liability for disputes between consumers and providers
4.3 Consumer Responsibilities
As a consumer, you are responsible for:
- Reviewing provider profiles, ratings, and credentials before booking
- Verifying licenses and insurance as needed for your project
- Communicating clearly about your service needs and expectations
- Ensuring a safe work environment for service providers
- Paying for services rendered as agreed
4.4 Service Provider Responsibilities
As a service provider, you are responsible for:
- Maintaining valid licenses, permits, and insurance as required by law
- Performing services safely, professionally, and to industry standards
- Complying with all applicable laws, regulations, and building codes
- Resolving disputes directly with consumers in good faith
- Paying applicable taxes on income earned through HelpPls
5. Payments and Fees
5.1 Payment Processing
- All payments are processed securely through Stripe
- Consumers pay providers directly for services rendered
- HelpPls collects a platform fee (percentage of transaction or subscription)
- Payment methods accepted: Credit/debit cards, ACH, digital wallets (via Stripe)
5.2 Platform Fees
Service Providers: HelpPls charges a service fee on completed bookings (percentage varies by plan). Current fee structure:
- Standard Plan: 15% per booking + subscription fee (if applicable)
- Premium Plan: 10% per booking + higher subscription fee
- Enterprise Plan: Custom pricing negotiated separately
- Fees may change with 30 days' notice to active users
Consumers: No platform fees for consumers at this time. You pay only the service price set by the provider.
5.3 Refunds and Cancellations
- Cancellation Policy: Set by individual service providers (must be disclosed upfront)
- Disputes: Handled directly between consumer and provider; HelpPls may mediate but does not guarantee resolution
- Platform Fee Refunds: HelpPls fees are non-refundable unless services were not rendered due to platform error
- Chargebacks: Fraudulent chargebacks may result in account suspension
5.4 Taxes
You are responsible for all taxes associated with your use of HelpPls:
- Service Providers: Report income and pay applicable self-employment taxes
- Sales Tax: Providers are responsible for collecting and remitting sales tax where required
- HelpPls may provide transaction records (1099 forms for U.S. providers earning $600+)
6. Intellectual Property
6.1 HelpPls Ownership
All content, trademarks, logos, and technology on HelpPls are owned by or licensed to HelpPls. This includes:
- The "helppls" brand, logo, and design elements
- Platform software, code, and algorithms
- User interface, graphics, and layout
- Documentation, guides, and marketing materials
You may not copy, modify, distribute, or create derivative works without our written permission.
6.2 User Content
You retain ownership of content you post on HelpPls (profile information, reviews, photos, messages). However, you grant HelpPls a worldwide, non-exclusive, royalty-free license to:
- Display, reproduce, and distribute your content on the platform
- Use your content for marketing and promotional purposes (with attribution)
- Modify or adapt your content for technical or display purposes
You represent that you have the right to post your content and that it does not violate any third-party rights.
6.3 Copyright Infringement
If you believe content on HelpPls infringes your copyright, contact us at [email protected] with:
- Description of the copyrighted work
- Location of the infringing content (URL)
- Your contact information
- Statement of good faith belief
- Electronic or physical signature
7. Disclaimers and Limitation of Liability

This section limits HelpPls's liability. By using the Services, you agree to these limitations.
7.1 No Warranties
HELPPLS IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, reliability, or quality of services provided by third-party professionals
- Uninterrupted, secure, or error-free operation of the platform
- Results obtained from using HelpPls
7.2 Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HELPPLS (AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS) SHALL NOT BE LIABLE FOR:
- Indirect Damages: Consequential, incidental, punitive, or special damages
- Lost Profits: Loss of revenue, business opportunities, or data
- Service Provider Actions: Negligence, misconduct, or poor service quality by providers
- Third-Party Services: Failures or issues with Google Maps, Stripe, or other integrated services
- User Disputes: Conflicts, disagreements, or legal issues between users
Maximum Liability Cap: Our total liability to you for any claim arising from your use of HelpPls is limited to the lesser of (a) $100, or (b) the amount you paid to HelpPls in the 12 months prior to the claim.
7.3 Assumption of Risk
You acknowledge and agree that:
- Home service work carries inherent risks (injuries, property damage, etc.)
- HelpPls does not perform background checks or verify all provider credentials
- You hire service providers at your own risk
- You should verify licenses, insurance, and references independently
- HelpPls is not liable for provider actions or service outcomes
8. Indemnification
You agree to indemnify, defend, and hold harmless HelpPls (and its affiliates, officers, directors, employees, and agents) from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use or misuse of the platform
- Your violation of these Terms or applicable laws
- Your content or activities on HelpPls
- Disputes with other users
- Services provided or received through HelpPls
- Your breach of any third-party rights
9. Dispute Resolution
9.1 Informal Resolution
Before pursuing formal dispute resolution, please contact us at [email protected] to resolve the issue informally. We'll work in good faith to find a solution within 30 days.
9.2 Arbitration Agreement
If informal resolution fails, you agree that any dispute arising from these Terms or your use of HelpPls will be resolved through binding arbitration, NOT in court, except:
- Small claims court actions (if your claim qualifies)
- Intellectual property disputes
- Injunctive relief for Terms violations
9.3 Arbitration Rules
- Administrator: American Arbitration Association (AAA)
- Rules: AAA Consumer Arbitration Rules
- Location: Your county of residence (or mutually agreed location)
- Costs: Each party pays their own attorneys' fees unless law requires otherwise
- No Class Actions: Arbitration must be individual, not class or representative actions
9.4 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any arbitration or court action shall take place in Texas.
9.5 Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, YOU AND HELPPLS WAIVE THE RIGHT TO A JURY TRIAL.
10. Termination
10.1 Termination by You
You may terminate your account at any time by:
- Requesting deletion via account settings
- Emailing [email protected] with "Account Deletion" in the subject
- We'll process your request within 30 days (see our Privacy Policy for data retention)
10.2 Termination by HelpPls
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms or our policies
- You engage in fraudulent or illegal activity
- Your account is reported for abuse or misconduct
- We discontinue the Services (with 30 days' notice to active users)
- Required by law or legal process
10.3 Effect of Termination
Upon termination:
- Your access to HelpPls will be revoked immediately
- Outstanding payments remain due (both to and from HelpPls)
- Sections of these Terms that should survive (e.g., liability, arbitration) remain in effect
- Your data will be deleted per our Privacy Policy
11. Changes to Terms
We may update these Terms from time to time. When we make material changes:
- We'll update the "Last Updated" date at the top
- We'll notify you via email (to the address on file)
- We'll display a prominent notice on HelpPls
- For significant changes, we may require you to accept the new Terms before continuing to use HelpPls
Continued use after changes become effective constitutes acceptance of the updated Terms. If you don't agree, you must stop using HelpPls and delete your account.
12. Miscellaneous
12.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and HelpPls and supersede any prior agreements.
12.2 Severability
If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
12.3 No Waiver
Our failure to enforce any provision does not waive our right to enforce it later.
12.4 Assignment
You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger or sale.
12.5 Force Majeure
HelpPls is not liable for delays or failures due to events beyond our reasonable control (natural disasters, pandemics, internet outages, etc.).
12.6 Feedback
We welcome your feedback! Any suggestions, ideas, or feedback you provide may be used by HelpPls without compensation or attribution.
